Subject to full payment of applicable subscription fees and strict compliance with this Agreement, the Provider grants the Subscriber a non-exclusive, non-transferable, revocable seat license to run the Application strictly for internal corporate business operations:

The Provider respects the absolute privacy and commercial ownership of your enterprise records:
3.1 100% Data Ownership: The Subscriber retains absolute, unencumbered ownership of all Customer Data. The Provider acquires zero rights, title, or interest in your corporate financial records.
3.2 Data Controller vs Processor Roles (DPA 2017): Under the Mauritius Data Protection Act 2017, the Subscriber acts as the sole Data Controller responsible for establishing lawful grounds for processing personal and payroll data of employees and clients. The Provider acts strictly as a technical Data Processor.
3.3 Employee HR & Payroll Confidentiality: The Subscriber warrants that all employee National ID (NIC) numbers, Tax Account Numbers (TAN), salary records, and bank accounts processed for PAYE/CSG/NSF returns comply with DPA 2017 consent and notification mandates.
3.4 No Commercial Data Monetization: The Provider will never inspect, aggregate, sell, lease, or monetize Customer financial ledgers or client details to any third party.
3.5 Data Control Clarification: AccountsPro Manager does not itself collect financial or payroll data; all such data remains exclusively under Subscriber control.
CRITICAL ARCHITECTURAL OBLIGATION & TOTAL LIABILITY RELEASE
4.1 Local Database Execution: Primary transaction records reside on the Subscriber’s local workstation, LAN server, or client-controlled browser storage. The Provider does not hold live custody or remote access to local database files.
4.2 Mandatory Daily Backup Cycle: The Subscriber is contractually obligated to execute and verify a daily backup archive of the database file to an independent external drive, secondary physical server, or secure offline storage media.
4.3 Release of Claims: The Provider is completely released from liability for database corruption, hard drive mechanical failures, operating system crashes, power surges, malware/ransomware infections, or user deletion errors. Data recovery relies entirely on Subscriber-maintained backups.
AccountsPro Manager provides statutory compliance modules tailored to Mauritian legislation. The Subscriber acknowledges and agrees to the following regulatory boundaries:
5.1 Income Tax Act 1995 & Tax Loss Carryforward (S59): Corporate tax calculations, 15% standard rate, 3% export partial exemption, Wear & Tear capital allowances (S63/S64), and the 5-year tax loss expiry tracker (S59) are configured as calculation tools. The Subscriber remains solely responsible for verifying statutory tax eligibility.
5.2 Value Added Tax (VAT) Act 1998: VAT input/output ledgers and return schedules must be vetted against official tax invoices and statutory VAT registration thresholds (MUR 6 Million). AccountsPro Manager includes an MRA VAT Return template that automatically populates figures from bookkeeping records. The Subscriber remains responsible for reviewing and submitting statutory VAT returns.
5.3 Workers’ Rights Act 2019 & Payroll Levies: Payroll calculations incorporate statutory rules for Contribution Sociale Généralisée (CSG), National Savings Fund (NSF), HRDC Training Levy, Portable Retirement Gratuity Fund (PRGF), PAYE tax bands, and statutory 13th Month End of Year Bonus.
5.4 Mandatory Accounting Vetting: The Software is an administrative calculation tool, NOT a replacement for a certified Mauritian Company Accountant or Registered Tax Agent. All MRA returns and financial statements MUST be vetted by a qualified professional prior to official MRA submission. The Provider is not liable for MRA tax audits, miscalculations, interest charges, or late filing penalties.

6.5 Subscriber Obligations: The Subscriber is responsible for ensuring that all spreadsheet data imported into AccountsPro Manager is complete and accurate before import. The Provider shall not be liable for accounting errors resulting from incorrect or incomplete imported data.
All right, title, and interest in and to the Software—including source code, compiled binaries, user interface designs, logos, database schemas, workflow algorithms, and documentation—remain the sole and exclusive intellectual property of Logixtix Marketing Ltd. The Subscriber shall not decompile, reverse engineer, disassemble, modify, create derivative works, white-label, or sublicense the Software.
Trademark Protection: “AccountsPro Manager” and its logo are trademarks of Logixtix Marketing Ltd. You may not use these trademarks without prior written permission.
AccountsPro Manager will only send essential service announcements, such as software updates or security notices. No promotional newsletters will be issued.
THE SOFTWARE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. THE PROVIDER DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL THIRD-PARTY HARDWARE OR OPERATING SYSTEMS.
TO THE MAXIMUM EXTENT PERMITTED BY MAURITIAN LAW, IN NO EVENT SHALL THE PROVIDER, ITS DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR INCIDENTAL DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, DATA RECOVERY COSTS, TAX PENALTIES, OR REGULATORY FINES).

10.2 The Provider shall not be liable for accounting or payroll inaccuracies arising from incorrect spreadsheet data prepared or imported by the Subscriber.
10.3 Freemium users are excluded from this liability cap, as they are not paid customers. The freemium version is provided entirely “as-is” without any liability coverage.
Indemnification: The Subscriber agrees to defend, indemnify, and hold harmless the Provider against any third-party claims, employee disputes, labour tribunal awards, or MRA tax assessments arising out of the Subscriber’s use of the Software or unlawful data processing. This indemnification also applies to fraudulent, unlawful, or wilful misuse of the Application, including misrepresentation of data, violation of statutory obligations, or unauthorised use of third-party services. This does not apply to ordinary accounting errors or inadvertent mistakes.
This Agreement remains in effect until terminated by either party upon written notice or expiration of the paid subscription term:
11.1 7-Year Record Retention Compliance (Mauritius Companies Act 2001 S153): Under Section 153 of the Mauritius Companies Act 2001, commercial entities are legally required to retain accounting books and records for a minimum of 7 years. Upon subscription termination or non-renewal, local database files on the Subscriber’s terminal remain accessible in read-only mode to satisfy statutory audit retention requirements.
Neither party shall be liable for delay or failure to perform obligations caused by events beyond reasonable control, including Acts of God, official Mauritius Meteorological Services Cyclone Warnings (Class I through IV), national power grid failures, international telecommunication submarine cable cuts, epidemics, civil unrest, or major cyber-warfare attacks.
This Agreement, its performance, validity, and any non-contractual obligations or legal disputes arising out of or in connection with the Software shall be governed exclusively by, and interpreted in accordance with, the laws of the Republic of Mauritius. Both parties submit to the exclusive jurisdiction of the competent courts of the Republic of Mauritius (including the Supreme Court of Mauritius Commercial Division in Port Louis).
This Agreement constitutes the complete and exclusive statement of agreement between the parties regarding the Software, superseding all prior proposals, understandings, or oral communications. If any provision is deemed invalid or unenforceable by a Mauritian court, such provision shall be severed while the remaining provisions remain in full force and effect. The Provider reserves the right to modify these terms upon 30 days’ notice or via in-app notification upon software update releases.
